National Distributor
of
1-Levelware(tm)
D R A F T
March 23rd 1993
1. A National Distributor is a local point of presence for a
1-Levelware product in a foreign (ie. outside the US) country.
This position is offered on a PER PRODUCT (ie. software
program) BASIS. It is possible for there to be more than 1
National Distributor in a particular country because there is
more than one 1-Levelware product. It is, however, an
EXCLUSIVE position on a PER PRODUCT basis.
2. The National Distributor's (refered to as ND) first
responsibility is to tailor the documentation and registration
files to appropriate the language and currency for the "served
country" for the product. This is done while in close
communication with Automated Education, Inc.
3. Only a distributor can become an ND. This means normal
registration of the product is required. At this time there
is no additional expense to become an ND planned.
4. The ND has the responsibility to distribute the product
widely in the "served country" with the intention of
registering new distributors. Any method approved by
Automated Education may be used for this distribution. To
date these methods include
* Electronic Bulletin Board Systems ( BBS )
* Internet archive FTP sites
* Word of Mouth
* Electronic Mail Advertising
* Print advertising such as newspapers and magazines and
flyers (pre-approved by Automated Education, Inc.)
* Other electronic advertising including Television and
Radio (pre-approved by Automated Education, Inc.)
5. The ND must on an ongoing basis:
* Distribute the product nationally
* Process registration money
* Track who the distributors are in that country (name,
address, product registered, date and amount
registered)
* Pay bonuses to distributors who register others
* Distribute electronic or hardcopy communication (eg.
newsletters) from AEI to all distributors in the
served country
* Communicate monthly to AEI a complete list of new
distributors and new locations where the product is
available as well as AEI's portion of the proceeds.
* Respond to local questions about the product
6. As compensation for this effort, the ND retains 25% of all
registration money collected.
7. The ND sends 50% of all money to AEI monthly in US funds via
bank draft or electronic transfer (any handling charges paid
by the ND).
8. The ND has FIRST opportunity to register future 1-Levelware
and become the ND for that product as well.
9. The ND must register future VERSIONS of all products they are
an ND for (with an enforcable maximum of 1 revision per year)
at the same rate offerd to a regular distributor. (ie. 50%
the first time registration for the new VERSION --- note the
first time registration fee may not be the same for current
version as it was for previous one.)
10. The ND will be replaced if they breach this agreement. This
includes any misrepresentation of 1-Levelware, fraudulent
behaviour of any kind, habitual late payments, poor service
to the distributors of the served nation and any reason a
regular distributor might lose their status. (ie. you can't
be an ND without being a distributor in good standing).
11. An ND must be 18 years of age or older, a full time resident
and citizen of the served nation and be able to legally
conduct business in the served countries.
12. An ND may not represent Automated Education, Inc. in any
contracts, negotiations or business dealings without explicit
permission in writing from Automated Education, Inc.
13. An ND is in NO WAY considered to be an employee of Automated
Education, Inc. An ND is an independant business person. The
tax and legal liabilities of doinf business are the ND's
responsibility.
14. An ND may not alter pricing or structure of 1-Levelware in
any way for any 1-Levelware product once the initial price is
negotiated between Automated Education, Inc. and the ND.
15. An ND may not offer other products using the 1-Levelware
marketing method or any marketing method that is deceptively
similar.

This is a DRAFT. Its purpose is to communication the ideas for
the National Distributor position. Final form of this document
will be available April 30th, 1993. I apologize for the delay.
